Forge fees: Explained

Forge is a leading global private securities marketplace, providing buyers and sellers with access to a robust trading platform for private shares. By leveraging our deep industry expertise and global network, Forge empowers investors and shareholders alike with transaction opportunities, data insights and liquidity solutions that help people reach their goals. What’s more, a core principle of Forge’s approach is transparency—especially when it comes to pricing.

Forge is committed to clear and flexible fees, so our clientele understands exactly what they’re paying for. Unlike some platforms that impose additional charges or require upfront subscription costs, Forge operates on a success-based brokerage commission fee structure: namely, commission only applies when a transaction is successfully completed.

The value behind Forge’s fees?

Facilitating transactions in the private market is a highly regulated effort that can be complex at times. Forge provides significant value to buyers and sellers through:

  • Access to a global network of buyers and sellers – Our marketplace helps connect people with transaction opportunities that might otherwise be hard to find. Forge has a track record of connecting reliable sources—whether it’s finding the right buyer(s) for your shares or hard-to-find shares for your bid.
  • Data-driven market insights and execution support – Our platform provides investors with valuable market intelligence and trade workflow assistance to optimize their investment strategies.
  • Regulatory compliance and transaction security – Forge’s marketplace is designed to ensure that all transactions meet regulatory requirements, reducing risk for both buyers and sellers.
  • Liquidity solutions tailored to different investment needs – Forge offers a range of options, including direct secondary transactions and private fund structures, to meet diverse liquidity preferences.

A breakdown of Forge’s fees

  1. Direct secondary transactions

For standard secondary transactions, Forge provides transparent and flexible fees, as low as 0% in some instances. The Forge transaction fee for direct secondaries is typically between 2-4%. Several factors influence the exact fee:

    • Transaction size – Larger trades may qualify for lower fees.
    • Market dynamics – Supply and demand fluctuations can impact pricing.
    • Customer relationship – Clients with significant lifetime transaction volume may receive discounted pricing.
  2. Alternative investment structures

In some cases, investments may take on a more complex structure, such as private fund transactions. Due to the complexity and additional administrative requirements of these structures, fees for these types of transactions may be higher than direct secondary trades, and additional fees may be imposed by the fund manager.

Note, interest in a Forge investment can be submitted for as low as $5,000 on the platform. The avenue to participate at a $5,000 minimum investment would be through limited fund opportunities (not direct transactions). Any inclusion will be at the sole discretion of the fund manager.

Where Forge does not charge fees

Forge remains committed to transparency by eliminating unnecessary costs for customers. As a result, there are:

  • No fees to create an account – Signing up is completely free.
  • No fees to access the marketplace – Eligible users can explore opportunities without incurring costs.
  • No upfront membership or subscription fees – Unlike some platforms that require prepayment, Forge does not charge ongoing membership fees.
  • No hidden platform charges – Forge only gets paid when a transaction is successfully completed.
  • No fees for unsuccessful transactions – If the transaction is unsuccessful for whatever reason, we do not charge a fee.
