The Fund will be a registered closed-end interval fund, with oversight by an independent board and established third-party service providers.

The Fund’s expenses will be limited to 1.75% of average daily net assets for the first year and 2.25% thereafter under an expense limitation agreement.

The total annual expenses estimated in the most recently filed registration statement are 2.38% for the Institutional Class Shares and 2.63% for the Advisor Class Shares. The net annual expenses after expense limitation are estimated to be 2.00% for the Institutional Class Shares and 2.25% for the Advisor Class Shares. The Investment Adviser has contractually agreed to waive its fees and/or reimburse expenses to the extent necessary to ensure that total annual fund operating expenses (excluding certain fees detailed in the registration statement) do not exceed 1.75% of the average daily net assets of the Institutional Class Shares and Advisor Class Shares for one year after the Fund commences operations. Thereafter, the expense limit will increase to 2.25% of the average daily net assets of the Institutional Class Shares and Advisor Class Shares and the contractual agreement will automatically renew for consecutive one-year terms unless terminated.

Vince Gubitosi
Vince is a founder and Co-President of Accuidity, which was acquired by Forge Global. He has twenty-five years of experience in fund management and proprietary trading in traditional and alternative asset classes. Prior to founding Accuidity, he spent 15 years at Geode Capital Management where he was President from 2009 to 2021. He graduated from Boston College in 1994 with a Bachelor of Science in Finance and Economics.

Mark Denatale
Mark is a founder and Co-President of Accuidity, which was acquired by Forge Global. He has over twenty-five years of experience within the private markets. Prior to founding Accuidity, he served as Global Head of Special Situations at CVC Credit and Global Head of Privates Trading and Investing at Goldman Sachs. He graduated from Boston College in 1994 with a Bachelor of Science in Finance.
